Welcome to Neovalia Consulting ("we," "us," "our"). These Terms of Service ("Terms") govern your use of our training, consulting, and related services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
1 Services Offered
Neovalia Consulting provides training, consulting, and professional development services in Project Management, Business Strategy, Quality Management, Leadership, other Management Areas and provides Management Tools and techniques. Our Services may include but are not limited to:
- In-person or virtual training sessions
- Workshops and seminars
- Consulting and advisory services
- Customized training programs
- Access to online resources and materials
2 Eligibility
To use our Services, you must:
- Be at least 18 years of age or have the consent of a legal guardian.
- Provide accurate and complete information when registering for or using our Services.
3 Registration and Payment
- Registration: You may be required to register for certain Services. You agree to provide accurate and up-to-date information during registration.
- Payment: Fees for our Services are as listed on our website or as agreed upon in a separate contract. Payment is due upon registration or as specified in your agreement. We accept credit cards, cheques made out to our company, and bank transfers.
- Currency: All payments must be made in Moroccan Dirhams (MAD), US Dollars (USD) or European Currency (EURO) unless otherwise agreed in writing.
- Taxes: Prices include all applicable taxes as required by Moroccan law, including Value Added Tax (VAT).
- Refunds: Refund policies are outlined in our [Refund Policy], which is incorporated into these Terms. Refunds will be processed in accordance with Moroccan consumer protection laws.
4 Intellectual Property
- All materials provided during our Services, including but not limited to training materials, presentations, handouts, and online content, are the intellectual property of Neovalia Consulting or its licensors.
- You are granted a limited, non-exclusive, non-transferable license to use these materials for personal or internal business purposes only. You may not reproduce, distribute, or modify these materials without our prior written consent.
- Any unauthorized use of our intellectual property will be subject to legal action under Moroccan intellectual property laws, including Law No. 17-97 on the Protection of Industrial Property and Law No. 2-00 on Copyright and Related Rights.
5 Confidentiality
- Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of Services.
- Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
- This confidentiality obligation is in line with Moroccan law, including the Code of Obligations and Contracts (COC).
6 Data Protection
- We comply with Moroccan Data Protection Law 09-08 regarding the collection, processing, and storage of personal data.
- By using our Services, you consent to the collection and use of your personal data as described in our Privacy Notice.
- You have the right to access, correct, or delete your personal data in accordance with Moroccan law.
7 User Responsibilities
- You agree to use our Services in compliance with all applicable Moroccan laws and regulations.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You agree not to disrupt or interfere with the delivery of our Services or the experience of other participants.
8 Limitation of Liability
- To the fullest extent permitted by Moroccan law, Neovalia Consulting shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of our Services.
- Our total liability for any claim arising under these Terms shall not exceed the amount paid by you for the specific Service giving rise to the claim.
- This limitation of liability is in accordance with the Code of Obligations and Contracts (COC).
9 Termination
- We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for any reason, including but not limited to a violation of these Terms.
- You may terminate your use of our Services at any time by providing written notice to us.
10 Delivery Information
At Neovalia Consulting, we are committed to delivering high-quality training and consulting services in a timely and professional manner. This Delivery Information section outlines how our Services will be provided, what you can expect, and your responsibilities as a client.
10.1 Service Delivery Methods
Our Services may be delivered through the following methods, depending on the nature of the program or agreement:
- In-Person Sessions: Training or consulting sessions conducted at our office, your premises, or a third-party venue.
- Virtual Sessions: Live online sessions delivered via platforms such as Zoom, Microsoft Teams, or Google Meet.
- Hybrid Sessions: A combination of in-person and virtual delivery.
- Self-Paced Online Courses: Access to pre-recorded training materials, videos, and resources through our online learning platform.
- Consulting Deliverables: Written reports, action plans, or other customized materials provided electronically or in hard copy.
- Downloadable or Digital Deliverables: Digital products or downloadable materials that can be accessed or downloaded.
10.2 Delivery Timelines
- Scheduled Sessions: The dates and times for training sessions, workshops, or consulting meetings will be agreed upon in advance and confirmed in writing (e.g., via email or contract).
- Customized Programs: For tailored consulting or training programs, a project timeline will be provided, outlining key milestones and delivery dates.
- Online Courses: Access to self-paced online courses will be granted immediately after payment is confirmed, unless otherwise specified.
10.3 Client Responsibilities
To ensure smooth delivery of our Services, you agree to:
- Provide accurate and complete information required for the delivery of the Services.
- Ensure that all necessary equipment, software, and internet connectivity are available for virtual sessions.
- Notify us in advance of any changes to your availability or requirements.
- Designate a point of contact for coordination and communication.
10.4 Rescheduling and Cancellations
- Rescheduling by Client: If you need to reschedule a session, you must notify us at least 10 business days in advance. Rescheduling is subject to availability.
- Rescheduling by Neovalia Consulting: If we need to reschedule a session due to unforeseen circumstances, we will notify you as soon as possible and propose a new date.
- Cancellations: Cancellation terms are outlined in our Refund Policy.
10.5 Access to Materials
- For online courses or virtual sessions, login credentials and access instructions will be provided via email upon registration or payment confirmation.
- For in-person sessions, training materials (e.g., handouts, workbooks) will be provided at the session or sent electronically in advance.
10.6 Technical Requirements
For virtual sessions or online courses, you are responsible for ensuring that you have:
- A stable internet connection.
- A compatible device (e.g., computer, tablet, or smartphone).
- Required software (e.g., Zoom, Microsoft Teams) installed and updated.
- A quiet and suitable environment for participation.
10.7 Delivery Confirmation
- Upon completion of a session or delivery of materials, we will provide a confirmation email or document summarizing the Services provided.
- For consulting projects, a final report or deliverable will be submitted electronically or in hard copy, as agreed.
10.8 Force Majeure
We are not liable for delays or failure to deliver Services due to circumstances beyond our control, including but not limited to:
- Natural disasters.
- Government restrictions or regulations.
- Internet or power outages.
- Other unforeseen events ("force majeure").
In such cases, we will make every effort to reschedule or provide alternative delivery methods.
11 Refund Policy
At Neovalia Consulting, we strive to provide high-quality training and consulting services. However, we understand that circumstances may arise where you may need to request a refund. This Refund Policy outlines the terms and conditions under which refunds may be granted.
11.1 Eligibility for Refunds
Refunds may be considered under the following circumstances:
- Cancellation by Neovalia Consulting: If we cancel a training session, workshop, or consulting service, you will be entitled to a full refund of the amount paid.
- Cancellation by the Client: If you cancel your registration, refund eligibility will depend on the timing of the cancellation:
- More than 10 days before the event: Full refund or credit toward a future service.
- Between 3 and 10 days before the event: Partial refund (e.g., 50% of the fee).
- Less than 3 days before the event: No refund, but you may transfer your registration to another person.
- Dissatisfaction with Services: If you are dissatisfied with our Services, you must notify us in writing within 15 days of the service delivery. We will review your case and may offer a partial or full refund at our discretion.
11.2 Non-Refundable Items
The following are non-refundable:
- Customized or personalized services (e.g., tailored consulting programs) once work has commenced.
- Digital products or downloadable materials that have been accessed or downloaded.
- Services that have already been fully delivered.
11.3 Refund Process
To request a refund, please follow these steps:
- Submit a written refund request to info@neovaliaconsulting within the specified timeframes outlined above.
- Include the following information in your request:
- Your full name and contact details.
- The service or event you registered for.
- The reason for your refund request.
- Proof of payment (e.g., receipt or transaction ID).
- We will review your request and notify you of our decision within 5 business days.
- If your refund is approved, it will be processed within 15 business days using the original payment method.
11.4 Refund Methods
- Refunds will be issued in the corresponding currency of the initial payment.
- If payment was made via credit card, the refund will be credited back to the same card.
- If payment was made via bank transfer or cheque, you must provide your bank details for the refund to be processed.
11.5 Exceptions
- Refunds will not be granted for no-shows or failure to attend a scheduled session without prior notice.
- If you are removed from a session or service due to a violation of our Terms of Service, you will not be eligible for a refund.
11.6 Disputes

12 Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco.
- Any disputes arising under these Terms shall be resolved amicably. If no resolution is reached, the dispute shall be submitted to the competent commercial court of Casablanca in accordance with Moroccan law.
13 Changes to These Terms
We reserve the right to update or modify these Terms at any time. Any changes will be effective upon posting the revised Terms on our website. Your continued use of our Services after such changes constitutes your acceptance of the revised Terms.
